1. Introduction

By accessing or using ShedClip ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. Your continued use of the Service constitutes acceptance of any modifications made to these Terms.

Throughout these Terms, "we", "our", and "us" refer to the business operator Bank Jordan François, a French sole proprietorship (entrepreneur individuel) registered in France and acting as the service operator and data controller for personal data processed through the ShedClip platform.

ShedClip is a SaaS platform that helps users manage and analyze content performance in order to optimize engagement metrics such as comments, likes, and shares. The Service is composed of two main parts:

A public website available at https://www.shedclip.com providing information about the Service and hosting a blog.
A web application available at https://app.shedclip.com where registered users can access platform features.

We reserve the right to modify these Terms at any time. Significant changes will be communicated by updating the Terms on this page. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

2. Description of Service

ShedClip is an AI-powered content creation platform that helps users generate ideas, write scripts, and manage content calendars for social media. The Service may include various features, tools, and functionalities that may be updated or modified from time to time.

3. Account Registration

To access certain features of the Service, you must create an account. Registration requires a valid email address and confirmation of that email.

You must create a password that meets minimum security requirements and keep it confidential.

You are solely responsible for maintaining the security of your account and for all activities that occur under your account.

4. Subscription and Payment

The Service includes a 7-day free trial. During this period, you may access the features of the platform without being charged.

After the 7-day trial ends, access to the application will be restricted to read-only mode unless you subscribe to a paid plan.

The Starter plan is priced at 12€ per month and is billed in advance on a recurring monthly basis.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

Subscription fees are non-refundable except where required by applicable law.

We reserve the right to modify subscription pricing at any time. However, users with an active subscription will not be affected by price changes unless they cancel their subscription and later resubscribe.

5. User Content

You retain ownership of any content you create or generate using the Service ("User Content"), including scripts, ideas, and AI-generated materials.

You are free to use the generated content for personal or commercial purposes, including publishing, monetizing, and distributing it outside the platform, as this is the intended purpose of the Service.

By using the Service, you grant us a limited, non-exclusive license to store, process, and analyze your User Content for the purpose of operating, maintaining, securing, and improving the Service.

You remain solely responsible for your User Content and for ensuring that it complies with applicable laws and does not infringe any third-party rights.

6. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations
Infringe upon the intellectual property rights of others
Generate or distribute harmful, abusive, defamatory, or illegal content
Spread misinformation or deceptive content
Attempt to gain unauthorized access to the Service or its systems
Interfere with or disrupt the Service or servers
Use automated means to access the Service without permission
Resell or redistribute the Service without authorization

7. Intellectual Property

The Service, including its software, source code, algorithms, features, interface, branding, design, and all related materials (excluding User Content), is the exclusive property of Bank Jordan François and is protected by applicable intellectual property laws.

These Terms do not grant you any ownership rights in the Service. You are granted a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms.

You may not copy, reproduce, distribute, modify, reverse engineer, resell, or create derivative works based on the Service or any of its components without prior written authorization.

8. AI-Generated Content

The Service uses artificial intelligence technologies to assist users in generating content. AI-generated outputs are produced automatically based on user input and may contain inaccuracies, omissions, or unintended biases.

You are solely responsible for reviewing, editing, and validating all AI-generated content before publishing, distributing, or using it for commercial purposes.

The Service does not guarantee originality, legal compliance, factual accuracy, or suitability of generated content for any specific platform, audience, or objective.

The Service does not provide professional, legal, financial, medical, or regulatory advice. Any use of AI-generated content is made at your own discretion and risk.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEDCLIP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify, defend, and hold harmless ShedClip and its affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the appropriate courts.
